These Terms of Service ("Terms") govern your use of vielis.io (the "Site"), operated by Vielis Investments, a Florida limited liability company ("Vielis," "we," "us," or "our"), and your participation in our SMS messaging program. By using the Site or opting in to our messages, you agree to these Terms. If you do not agree, do not use the Site.

1. What Vielis is — and is not

Vielis Investments is a privately held company that holds equity positions in companies with its own capital and provides consulting services to founders and operators.

Vielis is not an investment fund, a venture capital firm, a broker-dealer, or a registered investment adviser. Vielis does not manage money for others, does not solicit or accept outside investment, and does not offer securities to the public. Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security, and nothing on the Site is investment, legal, tax, or accounting advice.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to attempt to interfere with the Site's operation, probe or breach its security, scrape it at disruptive volume, or use it to transmit anything unlawful or harmful.

3. Intellectual property

The Site and its contents — including text, design, and the Vielis name and marks — are owned by Vielis or its licensors. You may view and share links to the Site, but you may not reproduce or use its contents commercially without our written permission.

4. Third-party links

The Site may link to third-party websites. We do not control them and are not responsible for their content or practices.

5. SMS messaging terms

These terms apply to text messages sent by or on behalf of Vielis Investments (the "Messaging Program").

Program description

The Messaging Program is used for direct business communication with people who have opted in — such as scheduling, follow-ups, and updates related to an existing or prospective working relationship with Vielis. It is a conversational program, not a marketing broadcast list.

Opt-in

You are enrolled only if you provide your phone number to Vielis and expressly agree to receive text messages — for example, by giving verbal or written consent during a conversation with us, or by texting us first. Consent to receive messages is not a condition of purchasing any goods or services.

Message frequency

Message frequency varies based on your interaction with us. This is a conversational program; you will not receive scheduled bulk messages.

Fees

Message and data rates may apply. Charges are billed by your mobile carrier under your plan. Vielis does not charge for the Messaging Program itself.

Opting out

Reply STOP to any message to cancel. After you send STOP, you will receive one final message confirming your opt-out, and no further messages will be sent unless you opt in again. You can also opt out by emailing us at the address in Section 10.

Supported carriers

The Messaging Program is available on major U.S. carriers. Carriers are not liable for delayed or undelivered messages.

Your mobile number

You represent that you are the account holder for the mobile number you provide, or that you have the account holder's permission. You agree to notify us if you change or give up that number.

Privacy

Information collected through the Messaging Program is handled as described in our Privacy Policy. No mobile opt-in data or consent is shared with or sold to third parties or affiliates for marketing or promotional purposes.

6. Disclaimers

The Site and the Messaging Program are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

7. Limitation of liability

To the fullest extent permitted by law, Vielis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site or the Messaging Program. To the extent any liability cannot be excluded, it is limited to one hundred U.S. dollars ($100).

8. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted on this page, with the "Last updated" date revised. Your continued use of the Site or the Messaging Program after changes are posted constitutes acceptance.

9. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Florida.
